Terms of Service

Please read these terms carefully before using our services

These Terms of Service ("Terms") govern your access to and use of the payment processing services, website, and applications provided by Vertura Payments ("we," "us," or "our"), a division of Vertura Group. By using our services, you agree to be bound by these Terms.

1. Services

Vertura Payments provides merchant payment processing services, including credit and debit card processing, point-of-sale solutions, virtual terminals, and related financial services. We act as an Independent Sales Organization (ISO) and partner with licensed payment processors to deliver these services.

2. Merchant Responsibilities

You agree to:

Provide accurate and complete information during onboarding and keep it updated
Comply with all applicable laws, including card network rules and anti-money laundering regulations
Maintain the security of your account credentials and devices
Not use our services for illegal, fraudulent, or prohibited activities
Pay all fees and charges associated with your account

3. Fees and Payment

Fees are outlined in your merchant agreement and may include interchange fees, processing fees, monthly minimums, and equipment charges. All fees are subject to change with notice. You authorize us to debit your designated bank account for all fees and chargebacks.

4. Term and Termination

These Terms begin when you first use our services and continue until terminated by either party. We may suspend or terminate your account at any time for breach of these Terms, suspected fraud, or regulatory requirements.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

VERTURA PAYMENTS AND VERTURA GROUP, INCLUDING THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES, SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS, OUR SERVICES, OR YOUR USE THEREOF, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

6. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7. Indemnification

You agree to indemnify, defend, and hold harmless Vertura Payments, Vertura Group, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Dallas County, Texas.

9. Changes to Terms

We may update these Terms at any time. Continued use of our services after changes constitutes acceptance of the new Terms.

FINAL LIABILITY WAIVER: BY USING OUR SERVICES, YOU ACKNOWLEDGE AND AGREE THAT VERTURA PAYMENTS AND VERTURA GROUP SHALL HAVE NO LIABILITY FOR ANY DAMAGES ARISING FROM YOUR USE OF OUR SERVICES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. THIS LIMITATION IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.
